Terms and Conditions

These Terms and Conditions (the "Terms") are an agreement between you and Nerqis Ltd, a company incorporated under the laws of the Republic of Cyprus, registration number HE487200, registered office at 7 Magdanis Street, Flat/Office 101, Kato Polemidia, 4152 Limassol, Cyprus ("Mewvie", "we", "us"). They govern your use of Mewvie Stream: the API, the web dashboard at dash.mewvie.com, the Mewvie mobile app, the video delivery at stream.mewvie.com and this website.

By creating an account, signing in, or using an API key, you agree to these Terms. If you accept them on behalf of a company, you confirm that you may bind it, and "you" means that company.

1. What Mewvie Stream is

Mewvie Stream hosts, encodes and delivers video for other apps and websites. You upload a video or give us a link to it; we encode it into adaptive HLS, encrypt it, and play it to your viewers through short-lived playback sessions your own server opens. Around that: subtitle and audio tracks, AI transcription, translation and dubbing, webhooks, usage reports, and a dashboard and app to manage it all.

Mewvie Stream is a service for businesses. Your viewers watch through your app or site, not ours, and they have no account with us.

2. Who may use it

You must be at least 18 years old and use Mewvie Stream for a business or professional purpose. You sign in with an email and password, or with Apple or Google; you can protect the account with two-factor authentication. Keep your password, recovery codes and API keys secret: whatever is done with them is done in your name.

An account can have several members with different roles — owner, admin, developer and viewer. The owners decide who is a member and are responsible for what members do.

3. Your content

You keep every right in the videos, images, subtitles and audio you upload ("your content"). You grant us the licence needed to run the service for you: to store your content, to encode and package it, to make posters, previews and storyboards, to process it with AI when you ask for that, to deliver it to the viewers you authorise, and to keep backups. The licence ends when the content is deleted.

You are responsible for your content and for having the rights to it — including the rights of the people who appear in it and of the authors of its music. What is not allowed is set out in our Acceptable Use Policy.

4. Your viewers

When you deliver video to your viewers through us, you decide who watches and why, and we process the little we need about each playback on your behalf. You are the controller of that data and we are your processor; how we handle it is described in section 4 of our Privacy Policy, and the terms of section 12 below form our data processing agreement with you. Do not put names, emails or other directly identifying data into the viewer identifier you send us — an opaque id of your own is enough.

5. Credits and price

Mewvie Stream is prepaid. Your account has a balance in US dollars ("credits"); storage and video delivery are charged from it every hour, and AI features per minute of video, at the rates published at mewvie.com/pricing. Encoding, the API and webhooks are free. Credits are bought in the Mewvie app through the App Store or Google Play, or granted by us. When the balance reaches zero the account is suspended: videos stop playing and the API refuses requests until it is topped up, but nothing is deleted. The details, including refunds, are in our Credits and Refund Policy.

We may change the rates. A change takes effect no sooner than 30 days after we announce it in the dashboard and the app, and only for usage after that date.

6. Availability

We aim to keep Mewvie Stream available and to encode and deliver every video, but we do not guarantee uninterrupted service or any particular level of it unless we have agreed on one with you in writing. We may suspend the service for maintenance, and we may change, add or withdraw features; a withdrawal that removes something you rely on will be announced in advance.

Keep your own copy of anything you cannot afford to lose. We keep your original files only as long as you ask us to keep them.

7. Third parties we rely on

Mewvie Stream uses services operated by others: hosting in the European Union, Cloudflare for file storage, Modal for encoding, AI model providers for AI features, Apple and Google for the app, sign-in, notifications and payments. Which of them handle personal data, and on what basis, is listed in our Privacy Policy. The app installed from a store is also subject to that store's own terms.

8. Our intellectual property

The service, the apps, the player, this website, the Mewvie name and mark, and everything we have written for them belong to us or to our licensors. You may use them to use the service, and not for anything else. You may not resell Mewvie Stream as your own without our written agreement, try to get around its limits, access controls or billing, or use our name in a way that suggests we endorse something we do not.

9. Liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence and for fraud.

Subject to that:

• we are not liable for lost profits, revenue, viewers or data, or for any indirect or consequential loss;
• our total liability in any twelve months is limited to the amount you paid us for the service in those twelve months;
• we are not liable for harm caused by your content, by what your viewers do, by a network, device or store outside our control, or by access obtained with your credentials or API keys.

You will hold us harmless from claims by third parties arising from your content or from your use of the service in breach of these Terms or the law.

10. Suspension and ending the agreement

You may stop using Mewvie Stream at any time. Delete your videos and libraries, then your account, from the dashboard or the app; what deletion removes is set out in Account Deletion and Data Retention.

We may suspend an account, or remove a video, that breaks these Terms, the Acceptable Use Policy or the law, and we tell the owners why. Where the breach is serious — illegal content, content that sexually exploits minors, an attack on the service or on others — we act immediately and may close the account. Unused credits of an account closed for a serious breach are not refunded, except where the law requires it.

11. Changes to these Terms

We may update these Terms. If a change materially affects your rights, we tell the account owners in the dashboard and the app at least 30 days before it takes effect. Continuing to use the service after that means you accept the change; if you do not, you may close the account before it takes effect and ask for a refund of unused credits you bought.

12. Processing personal data on your behalf

For the personal data of your viewers and of people in your content that we process for you:

• we process it only to provide the service, on your instructions as expressed by your use of it and by these Terms;
• the people who can reach it are bound to confidentiality;
• we protect it with the measures described in section 11 of the Privacy Policy;
• you authorise the sub-processors listed in section 5 of the Privacy Policy; we tell you of a new one at least 30 days in advance by updating that list, and you may object by ending the agreement;
• we help you answer requests from data subjects, and tell you without undue delay of a personal data breach that affects your data;
• at the end of the service we delete the data as described in Account Deletion and Data Retention;
• we give you the information needed to show these obligations are met, on request to [email protected].

13. Law and disputes

These Terms are governed by the law of the Republic of Cyprus, and its courts have exclusive jurisdiction. We would rather settle a complaint than litigate it: write to [email protected] and we will answer.
